1. Acceptance of Terms

By registering, subscribing, accessing, or using the SB Sidhabill web platform, mobile applications, APIs, or hardware POS devices (collectively referred to as "Services"), you agree to be bound by these Terms and Conditions. If you do not agree to all terms, you may not access or use our services.

2. Account Registration & User Responsibility

• You must be at least 18 years old and authorized to enter into legal agreements on behalf of your business entity.
• You are responsible for maintaining the confidentiality of your login passwords, OTPs, and staff permissions.
• You agree to provide true, accurate, and current business details, GSTIN, and contact information.
• Any billing or transaction conducted under your account credentials will be deemed executed by your authorized staff.

3. Permitted Business Use & Statutory Compliance

SB Sidhabill provides business automation, inventory tracking, POS checkout, and invoicing calculation tools.

• Tax & GST Responsibility: While Sidhabill provides automated calculations for CGST, SGST, and IGST based on standard rules, you as the merchant are solely responsible for ensuring the accuracy of applicable tax rates, HSN codes, and timely tax filings with the GST Portal.
• Prohibited Activities: You shall not use Sidhabill for generating fraudulent invoices, money laundering, distributing pirated software, or engaging in any unlawful commerce prohibited under Indian law.
• Fair Use of Messaging: WhatsApp and SMS notification integrations must only be used to send legitimate transactional receipts, invoices, and payment reminders to consenting customers. Spamming is strictly prohibited.

4. Subscription Fees, Invoicing & Renewals

• Subscription fees for paid plans are billed in advance on a monthly, quarterly, or annual basis as selected during purchase.
• All prices displayed are in Indian Rupees (INR) and applicable GST will be added at checkout.
• Failure to renew subscriptions upon expiry of the grace period may result in read-only access or temporary account suspension until renewal is completed.

5. Intellectual Property Rights

All software code, user interface designs, logos, graphics, database schemas, and documentation related to SB Sidhabill remain the exclusive intellectual property of Sidhabill Solutions. You are granted a limited, non-exclusive, non-transferable license to use the service for your internal business operations. You may not reverse-engineer, decompile, or copy the platform's proprietary code.

6. Limitation of Liability & Disclaimers

Our services are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 99.9% system uptime and maintain robust cloud backups, Sidhabill shall not be held liable for indirect, incidental, or consequential losses, including lost revenue or business interruption resulting from internet outages, third-party payment gateway downtime, or hardware physical damage.

7. Governing Law & Dispute Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising out of or in connection with Sidhabill shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
